Accepting an offer generates a secure, single-use, token-based checkout link that's emailed to the customer. Opening that link adds the product to their cart at the negotiated price for the exact quantity they offered on. The link and price can't be edited or reused after checkout is complete.

No. Pro is installed and activated alongside the free plugin, not instead of it — the free plugin remains the base, and Pro unlocks the additional features on top of it.
No. The "Make an Offer" button only appears on products where it's enabled, and offer data is stored separately from your product and order tables using WooCommerce's own CRUD APIs, so it won't interfere with checkout for regular, full-price purchases.
